North27 - Terms of Use

These Terms of Use govern access to and use of services provided by North27 Limited (“North27”, “we”, “us”, or “our”), including our products Byte and Fusion (the “Services”).

By accessing or using the Services, you agree to these Terms. If you do not agree, you should not use the Services.

Where a separate written agreement is in place with a customer, that agreement will take precedence over these Terms.

1. About Our Services

North27 provides software solutions for educational organisations, including:

• Byte - meal management, payments, and compliance tools
• Fusion - data integration, automation, and system synchronisation services

The Services are provided on a business-to-business basis and are intended for use by organisations and their authorised users.

2. Accounts and Access

You are responsible for:

• Ensuring that access to the Services is limited to authorised users
• Maintaining the security of login credentials
• All activity carried out under your account

We may suspend or restrict access if we reasonably believe there has been unauthorised use or a breach of these Terms.

3. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorised access to systems or data
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or attempt to extract source code
• Misuse integrations, such as Google Workspace or other third-party APIs

We reserve the right to suspend access where misuse is identified.

4. Data and Privacy

We handle personal data in accordance with our Privacy Policy.

Where personal data is processed through the Services:

• The customer organisation determines the purposes and means of processing
• North27 processes personal data only on documented instructions from the customer, except where required by law

Full data protection obligations are set out separately in customer agreements and Data Processing Agreements (DPAs), where applicable.

5. Third-Party Services

The Services may integrate with third-party systems and providers.

North27 is not responsible for the availability, security, or performance of third-party services, and your use of those services may be subject to separate terms.

6. Service Availability

We aim to provide a reliable service but do not guarantee that the Services will be:

• Uninterrupted
• Error-free
• Available at all times

The Services are provided on an “as is” and “as available” basis.

We may update, modify, or temporarily suspend parts of the Services for maintenance, improvement, or operational reasons.

7. Intellectual Property

All intellectual property rights in the Services remain the property of North27 or its licensors.

You may use the Services only as permitted under these Terms and any applicable agreement. You may not copy, modify, or distribute any part of the Services without prior written consent.

8. Fees and Access

Some features of the Services may require payment under separate agreements.

Failure to pay applicable fees may result in suspension or termination of access.

9. Termination

We may suspend or terminate access to the Services if:

• These Terms are breached
• Required by law
• Necessary to protect the integrity or security of the Services

Customers may stop using the Services at any time.

Detailed termination and data handling provisions are governed by separate contractual agreements where in place.

10. Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

To the fullest extent permitted by law:

• The Services are provided “as is” and “as available”
• North27 is not liable for any indirect or consequential losses

The Services are provided for organisational use and should not be relied upon as the sole source of operational or compliance decisions.

Any liability relating to the Services is governed by the relevant customer agreement where one exists.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of England and Wales.
